This version of our Terms of Service applies to customers and visitors located in Canada. Where we mention statutory rights, those refer to rights you have under federal Canadian law and applicable provincial consumer-protection legislation. Nothing in these Terms limits or excludes your statutory rights as a Canadian consumer. Quebec residents: see Section 33 regarding language preference.

Our store is hosted on Shopify Inc. They provide us with the online e-commerce platform that allows us to sell our products and Services to you.

We reserve the right to refuse Service to anyone for any reason at any time, subject to applicable Canadian and provincial law.

You understand that your content (not including credit card information) may be transferred unencrypted and involve (a) transmissions over various networks; and (b) changes to conform and adapt to technical requirements of connecting networks or devices. Credit card information is always encrypted during transfer over networks.

You agree not to reproduce, duplicate, copy, sell, resell, or exploit any portion of the Service, use of the Service, or access to the Service or any contact on the website through which the Service is provided, without express written permission by us.

The headings used in this agreement are included for convenience only and will not limit or otherwise affect these Terms.

We are not responsible if information made available on this site is not accurate, complete, or current. The material on this site is provided for general information only and should not be relied upon or used as the sole basis for making decisions without consulting primary, more accurate, more complete, or more timely sources of information. SECTION 7 - MODIFICATIONS TO THE SERVICE AND PRICES

Prices for our products are subject to change without notice. Prices are displayed in USD and converted to CAD at checkout using the prevailing exchange rate. The total amount including shipping and any applicable taxes will be shown before you confirm payment.

We reserve the right at any time to modify or discontinue the Service (or any part or content thereof) without notice at any time.

We shall not be liable to you or to any third-party for any modification, price change, suspension, or discontinuance of the Service, except where such liability cannot be excluded under Canadian or provincial law.

SECTION 8 - PRODUCTS OR SERVICES

Because our products are personal-care items, we do not accept physical returns for hygiene reasons. Refunds are issued for damaged, defective, incorrect, or missing items based on photo evidence; no physical return is required. See our Refund Policy for full details.

We have made every effort to display as accurately as possible the colors and images of our products that appear at the store. We cannot guarantee that your computer monitor's display of any color will be accurate.

We reserve the right, but are not obligated, to limit the sales of our products or Services to any person, geographic region, or jurisdiction. We may exercise this right on a case-by-case basis.

We reserve the right to limit the quantities of any products or Services that we offer. All descriptions of products or product pricing are subject to change at any time without notice, at the sole discretion of us.

We reserve the right to discontinue any product at any time. Any offer for any product or Service made on this site is void where prohibited.

Subject to your statutory rights under applicable Canadian or provincial consumer-protection legislation, we do not warrant that the quality of any products, Services, information, or other material purchased or obtained by you will meet your expectations, or that any errors in the Service will be corrected.

SECTION 9 - ACCURACY OF BILLING AND ACCOUNT INFORMATION

We reserve the right to refuse any order you place with us. We may, in our sole discretion, limit or cancel quantities purchased per person, per household, or per order. These restrictions may include orders placed by or under the same customer account, the same credit card, and/or orders that use the same billing and/or shipping address.

In the event that we make a change to or cancel an order, we may attempt to notify you by contacting the e‑mail and/or billing address/phone number provided at the time the order was made. We reserve the right to limit or prohibit orders that, in our sole judgment, appear to be placed by dealers, resellers, or distributors.

You agree to provide current, complete, and accurate purchase and account information for all purchases made at our store. You agree to promptly update your account and other information, including your email address and credit card numbers and expiration dates, so that we can complete your transactions and contact you as needed.

SECTION 10 - FULFILLMENT, SHIPPING, AND RISK OF LOSS

10.1 Order Processing: Orders are typically processed and fulfilled within 24 hours of being placed. This timeframe does not include the time required for shipping.

10.2 Shipping: Shipping times are estimates and commence from the date of shipment, rather than the date of order. Standard delivery to Canada takes approximately 9-16 business days. Remote provinces and territories (Yukon, Northwest Territories, Nunavut) may take longer. Delivery times are subject to the performance of the courier service. We are not responsible for delays caused by the carrier, weather conditions, customs clearance, or other circumstances beyond our control.

10.3 Risk of Loss: All purchases are made pursuant to a shipment contract. The risk of loss and title for items purchased from the Site pass to you upon delivery to the carrier. Where mandatory provisions of provincial consumer-protection law require risk to remain with the seller until physical delivery to the consumer (for example, where applicable in Quebec), those mandatory provisions take precedence.

10.4 Shipping Address: You are responsible for providing the correct shipping address. Orders shipped to an incorrect address provided by the customer may incur additional charges for reshipment or may be non-refundable, subject to your statutory rights.

10.5 Customs, GST/HST/PST, and Import Duties: Orders shipped to Canada may be subject to GST/HST/PST/QST and import duties on arrival, which are determined by the Canada Border Services Agency and are the responsibility of the recipient. See our Shipping Policy for more information.

SECTION 11 - SUBSCRIPTION MODEL TERMS

11.1 Automatic Renewal: If you purchase a subscription, you agree that your subscription will automatically renew on a monthly basis until you cancel it.

11.2 Billing Authorization: You authorize us (or our third-party payment processor) to charge your payment method the subscription fee at the start of each monthly renewal term.

11.3 Cancellation: You may cancel your subscription at any time by logging into your account or contacting customer service at support@olenisrx.com. Cancellations must be received at least 48 hours before the next scheduled billing date to avoid being charged for that billing cycle.

11.4 Quebec Residents: Quebec residents have additional rights under the Consumer Protection Act (RLRQ, c. P-40.1) regarding contracts of sequential performance for a service, including the right to cancel without cost in certain circumstances. Nothing in these Terms limits those rights.

11.5 Changes: We reserve the right to modify subscription fees or change the products included in the subscription at any time. We will provide you with reasonable advance notice of any material changes.

11.6 Failed Payments: If your payment method fails, we may attempt to charge you again. If payment continues to fail, your subscription may be suspended or cancelled.

SECTION 12 - VIP / LOYALTY PROGRAM TERMS

12.1 Membership: Membership in the VIP or Loyalty program is at our sole discretion. Benefits, rewards, and tier qualifications are subject to change or termination without notice.

12.2 No Cash Value: Points or rewards accumulated have no cash value, are non-transferable, and may not be bartered or sold.

12.3 Termination: We reserve the right to audit, terminate, or forfeit any accumulated benefits if we determine they were earned fraudulently or if you have violated these Terms.

SECTION 13 - COOKIES

Olenis uses "Cookies" to identify the areas of our Website that you have visited. A Cookie is a small piece of data stored on your computer or mobile device by your web browser. We use Cookies to enhance the performance and functionality of our Website. Where required by Canadian and provincial privacy law (including PIPEDA and Quebec's Law 25), we obtain your consent before placing non-essential cookies on your device.

Most web browsers can be set to disable the use of Cookies. However, if you disable Cookies, you may not be able to access functionality on our Website correctly or at all. We never place Personally Identifiable Information in Cookies.

SECTION 14 - OPTIONAL TOOLS

We may provide you with access to third-party tools over which we neither monitor nor have any control nor input.

You acknowledge and agree that we provide access to such tools "as is" and "as available" without any warranties, representations, or conditions of any kind and without any endorsement. We shall have no liability whatsoever arising from or relating to your use of optional third-party tools, except where such liability cannot be excluded under Canadian or provincial law.

Any use by you of the optional tools offered through the site is entirely at your own risk and discretion and you should ensure that you are familiar with and approve of the terms on which tools are provided by the relevant third-party provider(s).

We may also, in the future, offer new Services and/or features through the website (including the release of new tools and resources). Such new features and/or Services shall also be subject to these Terms of Service.

Certain content, products, and Services available via our Service may include materials from third-parties. Third-party links on this site may direct you to third-party websites that are not affiliated with us.

We are not responsible for examining or evaluating the content or accuracy and we do not warrant and will not have any liability or responsibility for any third-party materials or websites, or for any other materials, products, or Services of third-parties.

We are not liable for any harm or damages related to the purchase or use of goods, Services, resources, content, or any other transactions made in connection with any third-party websites. The material may not be copied, modified, reproduced, downloaded, or distributed in any way, in whole or in part, without the express prior written permission of Olenis, unless and except as is expressly provided in these Terms of Service. Any unauthorized use of the material is prohibited.

The Olenis name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Olenis or its affiliates or licensors. You must not use such marks without the prior written permission of Olenis.

SECTION 17 - COPYRIGHT INFRINGEMENT NOTICE

If you are a copyright owner or such owner's agent and believe any material on our Website constitutes an infringement on your copyright, please contact us setting forth the following information:

(a) A physical or electronic signature of the copyright owner or a person authorized to act on their behalf;

(b) Identification of the material that is claimed to be infringing;

(c) Your contact information, including your address, telephone number, and an email;

(d) A statement by you that you have a good faith belief that use of the material is not authorized by the copyright owners; and

SECTION 18 - USER COMMENTS, FEEDBACK AND OTHER SUBMISSIONS

If, at our request, you send certain specific submissions (for example contest entries) or without a request from us, you send creative ideas, suggestions, proposals, plans, or other materials, whether online, by email, by postal mail, or otherwise (collectively, "comments"), you agree that we may, at any time, without restriction, edit, copy, publish, distribute, translate, and otherwise use in any medium any comments that you forward to us.

We are and shall be under no obligation (1) to maintain any comments in confidence; (2) to pay compensation for any comments; or (3) to respond to any comments.

We may, but have no obligation to, monitor, edit, or remove content that we determine in our sole discretion to be unlawful, offensive, threatening, libelous, defamatory, pornographic, obscene, or otherwise objectionable or violates any party's intellectual property or these Terms of Service.

You agree that your comments will not violate any right of any third-party, including copyright, trademark, privacy, personality, or other personal or proprietary right. You further agree that your comments will not contain libelous or otherwise unlawful, abusive, or obscene material, or contain any computer virus or other malware that could in any way affect the operation of the Service or any related website.

You may not use a false e‑mail address, pretend to be someone other than yourself, or otherwise mislead us or third-parties as to the origin of any comments. You are solely responsible for any comments you make and their accuracy. We take no responsibility and assume no liability for any comments posted by you or any third-party, except where such liability cannot be excluded under Canadian or provincial law.

SECTION 19 - SMS/MMS MOBILE MESSAGE MARKETING PROGRAM TERMS AND CONDITIONS

We offer a mobile messaging program (the "Program"), which you agree to use and participate in subject to these Mobile Messaging Terms and Conditions and our Privacy Policy. We comply with Canada's Anti-Spam Legislation (CASL) and applicable provincial privacy laws and will obtain your express consent before sending you commercial electronic messages.

The Program allows users to receive SMS/MMS mobile messages by affirmatively opting into the program, such as through online or application-based enrollment forms. By participating in the program, you agree to receive marketing mobile messages at the phone number associated with your opt-in, and you understand that consent is not required to make any purchase from us.

Opting Out: If you do not wish to continue participating in the Program or no longer agree to this Agreement, you agree to reply STOP to any mobile text message from us in order to opt out of the program. You may receive an additional mobile message confirming your decision to opt out. You may also withdraw consent at any time by emailing support@olenisrx.com.

Message Frequency: Message frequency varies. The program involves recurring mobile messages, and additional mobile messages may be sent periodically based on your interaction with us.

Requirements: You must have a wireless device of your own, be capable of two-way messaging, and use a participating wireless carrier.

Costs: Message and data rates may apply. Check with your carrier for details.

SECTION 20 - PERSONAL INFORMATION

Your submission of personal information through the store is governed by our Privacy Policy, which can be viewed here: https://shop.olenis.com/policies/privacy-policy. The Privacy Policy explains your rights under the Personal Information Protection and Electronic Documents Act (PIPEDA) and applicable provincial privacy laws including Quebec's Law 25, Alberta's PIPA, and British Columbia's PIPA, including your right to file a complaint with the Office of the Privacy Commissioner of Canada or the relevant provincial regulator.

SECTION 21 - ERRORS, INACCURACIES AND OMISSIONS

Occasionally there may be information on our site or in the Service that contains typographical errors, inaccuracies, or omissions that may relate to product descriptions, pricing, promotions, offers, product shipping charges, transit times, and availability.

We reserve the right to correct any errors, inaccuracies, or omissions, and to change or update information or cancel orders if any information in the Service or on any related website is inaccurate at any time without prior notice (including after you have submitted your order).

In the event a product and/or service is listed at an incorrect price or with incorrect information due to typographical error, we shall have the right to refuse or cancel any orders placed for the product and/or service listed at the incorrect price. We shall have the right to refuse or cancel any such order whether or not the order has been confirmed and your credit card charged. If your credit card has already been charged for the purchase and your order is canceled, we shall immediately issue a credit to your credit card account or other payment account in the amount of the charge.

We undertake no obligation to update, amend, or clarify information in the Service or on any related website, including without limitation, pricing information, except as required by law.

In addition to other prohibitions as set forth in the Terms of Service, you are prohibited from using the site or its content:

(a) For any unlawful purpose; (b) To solicit others to perform or participate in any unlawful acts; (c) To violate any Canadian, provincial, federal, international, or local regulations, rules, laws, or local ordinances; (d) To infringe upon or violate our intellectual property rights or the intellectual property rights of others; (e) To harass, abuse, insult, harm, defame, slander, disparage, intimidate, or discriminate based on protected grounds under the Canadian Human Rights Act or applicable provincial human rights legislation; (f) To submit false or misleading information; (g) To upload or transmit viruses or any other type of malicious code; (h) To collect or track the personal information of others; (i) To spam, phish, pharm, pretext, spider, crawl, or scrape; (j) For any obscene or immoral purpose; or (k) To interfere with or circumvent the security features of the Service.

We reserve the right to terminate your use of the Service or any related website for violating any of the prohibited uses.

SECTION 23 - DISCLAIMER OF WARRANTIES; LIMITATION OF LIABILITY

We do not guarantee, represent, or warrant that your use of our Service will be uninterrupted, timely, secure, or error-free.

We do not warrant that the results that may be obtained from the use of the Service will be accurate or reliable.

You agree that from time to time we may remove the Service for indefinite periods of time or cancel the Service at any time, without notice to you.

You expressly agree that your use of, or inability to use, the Service is at your sole risk. The Service and all products and Services delivered to you through the Service are (except as expressly stated by us) provided "as is" and "as available" for your use, without any representation, warranties, or conditions of any kind, either express or implied, except those that cannot be excluded under Canadian or provincial law.

To the maximum extent permitted by law, in no case shall Olenis, our directors, officers, employees, affiliates, agents, contractors, interns, suppliers, Service providers, or licensors be liable for any indirect, incidental, special, punitive, or consequential damages of any kind, including, without limitation lost profits, lost revenue, lost savings, loss of data, replacement costs, or any similar damages, whether based in contract, tort (including negligence), strict liability, or otherwise, arising from your use of any of the Service or any products procured using the Service. Our total liability arising out of or in connection with any order shall not exceed the amount you paid for the relevant order.

Nothing in these Terms limits liability that cannot be excluded under applicable Canadian or provincial law (including the Quebec Civil Code).

SECTION 24 - INDEMNIFICATION

You agree to indemnify, defend, and hold harmless Olenis and our parent, subsidiaries, affiliates, partners, officers, directors, agents, contractors, licensors, Service providers, subcontractors, suppliers, interns, and employees, harmless from any claim or demand, including reasonable legal costs, made by any third-party due to or arising out of your breach of these Terms of Service or the documents they incorporate by reference, or your violation of any law or the rights of a third-party. This indemnity does not apply to losses caused by our negligence, breach of contract, or breach of statutory duty.

SECTION 25 - DISPUTE RESOLUTION

25.1 Statutory rights preserved: Nothing in this section limits or excludes any rights you have under applicable Canadian or provincial consumer-protection legislation. Quebec residents retain the right to bring claims before Quebec courts under the Consumer Protection Act and other mandatory provisions of Quebec law.

25.2 Notice of Dispute: In the event of a dispute, you or Olenis must give the other a Notice of Dispute, which is a written statement that sets forth the name, address, and contact information of the party giving it, the facts giving rise to the dispute, and the relief requested. You must send any Notice of Dispute via email to: support@olenisrx.com. Olenis will send any Notice of Dispute to you by mail to your address if we have it, or otherwise to your email address. You and Olenis will attempt to resolve any dispute through informal negotiation within sixty (60) days from the date the Notice of Dispute is sent.

25.3 Court proceedings: If informal negotiation does not resolve the dispute, either party may bring proceedings in the courts of the Province of Ontario or, where you are a Canadian consumer, the courts of the province or territory in which you reside, as permitted by applicable mandatory provisions of provincial law.

25.4 Optional arbitration: If both parties agree in writing, a dispute may be referred to binding arbitration administered by an alternative dispute resolution provider mutually agreed in writing. Canadian consumers are not required to arbitrate and retain the right to bring proceedings in court at any time. Class proceedings rights of Canadian consumers, where mandatory under provincial law, are not waived by these Terms.

SECTION 26 - SEVERABILITY

If any provision of these Terms of Service is determined to be unlawful, void, or unenforceable, such provision shall nonetheless be enforceable to the fullest extent permitted by applicable law, and the unenforceable portion shall be deemed to be severed from these Terms of Service, such determination shall not affect the validity and enforceability of any other remaining provisions.

SECTION 27 - WAIVER

Except as provided herein, the failure to exercise a right or to require performance of an obligation under these Terms of Service shall not affect a party's ability to exercise such right or require such performance at any time thereafter nor shall the waiver of a breach constitute waiver of any subsequent breach.

No failure to exercise, and no delay in exercising, on the part of either party, any right or any power under these Terms of Service shall operate as a waiver of that right or power. Nor shall any single or partial exercise of any right or power under these Terms of Service preclude further exercise of that or any other right granted herein.

SECTION 28 - TERMINATION

The obligations and liabilities of the parties incurred prior to the termination date shall survive the termination of this agreement for all purposes.

These Terms of Service are effective unless and until terminated by either you or us. You may terminate these Terms of Service at any time by notifying us that you no longer wish to use our Services, or when you cease using our site.

If in our sole judgment you fail, or we suspect that you have failed, to comply with any term or provision of these Terms of Service, we also may terminate this agreement at any time without notice and you will remain liable for all amounts due up to and including the date of termination; and/or accordingly may deny you access to our Services (or any part thereof).

SECTION 29 - LIMITATION PERIOD

Where you are a Canadian consumer, the time limit for bringing a claim arising out of or related to the Services is governed by the Limitations Act of your province of residence (or equivalent), and your statutory rights are not affected. For business users, any cause of action must be commenced within two (2) years after the cause of action accrues, otherwise such cause of action is permanently barred.

SECTION 30 - ENTIRE AGREEMENT

The failure of us to exercise or enforce any right or provision of these Terms of Service shall not constitute a waiver of such right or provision.

These Terms of Service and any policies or operating rules posted by us on this site or in respect to the Service constitutes the entire agreement and understanding between you and us and governs your use of the Service, superseding any prior or contemporaneous agreements, communications, and proposals, whether oral or written, between you and us (including, but not limited to, any prior versions of the Terms of Service).

Any ambiguities in the interpretation of these Terms of Service shall not be construed against the drafting party.

SECTION 31 - GOVERNING LAW

These Terms of Service and any separate agreements whereby we provide you Services shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-law principles.
